Groov Interactive – Revenue Policy

1. Introduction and Purpose
This revenue policy (the “Revenue Policy”) outlines how eligible Users ("Pro Users", "Creators", "you" and in specific cases for Groov-hosted tournament winnings, "Users") can earn real money through designated features on the Groov Interactive LLC ("Groov", "we", "us" or "our") mobile applications, website (accessible via the URL: tenets.gg), APIs, Seeder platform, and related services (collectively, the "Platform"). Our goal is to provide transparent and fair opportunities for our valued community members to share in the success of the Platform.
This Revenue Policy is an integral part of our Terms & Conditions and is incorporated therein by reference. All capitalized terms not defined in this Revenue Policy shall have the meanings ascribed to them in the Terms & Conditions. By participating in any revenue-generating activities on the Groov Platform, you agree to be bound by the terms of this Revenue Policy.
For the avoidance of doubt, this Revenue Policy is designed to comply with applicable laws of the United Arab Emirates (“UAE”), the European Union (“EU”), and other major jurisdictions in which Groov operates or targets users. In the event of a jurisdictional conflict, mandatory consumer protection or tax obligations of the User’s jurisdiction shall prevail over this Revenue Policy, unless expressly prohibited by applicable law.
2. Eligibility for Earning
To be eligible for most earnings under the Groov Revenue Sharing Program (specifically from Digital Gifts and Hosted Paid Hangouts) and to receive payouts from your Reward Balance (as defined in Paragraph 4 below), you must:
Be a natural person of legal age under the laws of your jurisdiction.
Be a Pro User with an active, valid Pro Subscription at the time such earnings are accrued and, importantly, at the time payouts from the Reward Balance are processed on the forty-five (45)-day cycle (refer to Paragraph 5.5 below).
Be in good standing with Groov, meaning that your Account is not suspended or terminated, and you are otherwise not in violation of our Terms & Conditions or Community Guidelines.
Have accurately linked a valid PayPal account to your Groov profile for receiving payouts.
Meet the minimum Payout Threshold (as defined in Paragraph 5.4 below) for payouts from your Reward Balance or for direct tournament winnings.
Comply with all applicable laws and regulations in your jurisdiction pertaining to the receipt of income and tax reporting.
Not be located in, nor a national of, a country or region subject to international sanctions (e.g. OFAC, EU Sanctions Lists).
Successfully complete any required identity verification and know-your-customer (“KYC”), anti-money laundering (“AML”) and counter-terrorism financing (“CTF”) processes as stipulated in our Terms & Conditions.
Ensure that your receipt of earnings does not violate any prior contractual obligations (e.g. under sponsorship agreements, team contracts, or regional competition rules).
Exception for Groov-Hosted Tournament Cash Prizes: Eligibility to receive cash prizes won in Tournaments explicitly hosted and funded by Groov does not require a Pro Subscription (refer to Paragraph 3.4 and Paragraph 5.9 for further details).
3. How Users Can Earn (Earning Mechanisms)
3.1. Share of Digital Gifts Received (Pro Users Only) When other Users send you eligible Digital Gifts (purchased with Crystals) on the Platform (e.g. on your Showcase videos, during your Hangouts, or on your profile), and you are a Pro User, you will receive a share of the value of those gifts credited to your Reward Balance.
Your Share: You will receive fifty-five percent (50%) of the "Crystal Value" (defined in Section 4) of eligible Digital Gifts sent to you.
Groov' Platform Fee: Groov retains forty-five percent (50%) of the Crystal Value as a platform fee.
3.2. Share of Entry Fees from Hosted Paid Hangouts (Pro Users Only) If you are a Pro User and host a Hangout session for which you charge an entry fee in Crystals, you will receive a share of the total Crystals collected from attendees, credited to your Reward Balance.
Your Share: You will receive sixty percent (60%) of the total "Crystal Value" (defined in Paragraph 4 below) collected from entry fees for your paid Hangout session.
Groov' Platform Fee: Groov shall retain forty percent (40%) of the total Crystal Value from entry fees as a facilitation and to address the applicable platform fee.
The earned share will be credited to your Reward Balance within a reasonable period after the Hangout session is completed.
3.3. Share of Showcase Ad Revenue (Future Feature) Groov may, in the future, introduce opportunities for eligible Pro Users to earn a share of advertising revenue generated from their qualifying content on the Showcase feature.
The specific terms, eligibility criteria, calculation models, revenue share percentages, and launch date for any such ad revenue sharing will be announced via an update to this Revenue Policy or through other official Groov communications if and when this feature becomes active. At the initial launch of this Revenue Policy, direct ad revenue sharing for Showcase content is not an active earning mechanism on the Platform.
3.4. Cash Prizes from Groov-Hosted Tournaments (All Eligible Users) If you participate in and win a cash prize (denominated in the lawful currency of the European Union (“EUR”), United States Dollars (“USD”, United Arab Emirates Dirhams (“AED”), or other fiat currency) in a Tournament that is explicitly hosted and funded by Groov, such prize money shall be converted into USD (if applicable) and added to the winning User's Reward Balance for automatic transfer according to the schedule in Section 5.7. For the avoidance of doubt, such currency conversion (if any) shall be processed and facilitate by third-party payment processors, and you agree that you shall not object, contest or dispute such currency conversion rate, calculation or mechanic.
Eligibility: Winning these specific prizes does not require you to have a Pro Subscription.
Payout Timing: These specific winnings are processed for payout in or about on the forty-five (45)-day Payout Cycle.
Team Winnings: For team-based events, the total cash prize will be split and allocated evenly among all registered players on the winning team's roster at the time of winning, including designated substitutes. This prize money will be added to each individual player's Reward Balance.
Third-Party Tournaments: Please note that prize distribution rules, including team splits, for tournaments hosted by third parties are the sole responsibility of the Organizer and may differ from the terms and payment timeframes contemplated by this Revenue Policy.
Prizes awarded in Crystals: Prizes awarded in Crystals are added to your Crystal balance and are not directly convertible to cash or eligible for cash payout under this mechanism (unless specific tournament rules explicitly state a Crystal-to-cash conversion path for winnings as an exception).
3.5. Platform Services (Non-Earning Activities) For the avoidance of doubt, when a User spends Crystals on platform-specific promotional services, such as 'Boosting' their content or purchasing 'Mega Banners' for their Tournaments, such transactions constitute transactions with Groov for a service. These Crystal expenditures do not generate any revenue share or contribute to the Reward Balance of any other User.
3.6. Algorithmic Revenue Attribution Revenue shares from Gifts, Hangouts, and Ad Revenues may be subject to algorithmic calculations and engagement metrics. Groov reserves the right to audit such metrics or reallocate improperly attributed revenue in its sole discretion and at any time whatsoever (as appropriate from time to time).
3.7. Third-Party Disclaimers For the avoidance of doubt, Groov is not responsible for how third-party tournament organizers manage or distribute prizes unless Groov is the explicit prize sponsor or funder.
3.8. Ad Revenue Compliance Users acknowledge that monetized content must comply with applicable advertising and consumer protection laws, including but not limited to the EU Digital Services Act and UAE Federal Law No. 15 of 2020 on Consumer Protection.
4. Key Definitions for Revenue & Payouts
Crystal Value: For the purpose of calculating revenue share from Digital Gifts and Hangout entry fees, the term "Crystal Value" refers to a fixed internal platform value where 100 Crystals = 1.00 USD. This is the baseline monetary value used to calculate the earnings that contribute to your Reward Balance. This internal value is distinct from the retail purchase price of Crystals, which may vary due to factors such as bundle discounts, regional pricing, and fees charged by app stores. For the avoidance of doubt, Crystals represent strictly an internal metric, and do not constitute a fiat or digital asset, and are not transferable or convertible unless expressly prescribed elsewhere by Groov.
Platform Fee: The percentage or portion of revenue (derived from Crystal Value or other sources) generated from certain features that Groov retains to operate and develop the Platform.
Net User Share: The portion of revenue (after the Groov' Platform Fee is deducted) that is credited to a Pro User's Reward Balance from Digital Gifts and Hangouts.
Reward Balance: The accumulated fiat money earnings (denominated in USD) in a Pro User's Groov Account, derived from their Net User Share from eligible Earning Mechanisms (currently Digital Gifts and Hangouts), which is eligible for payout once the Payout Threshold is met and other conditions are satisfied, typically on a forty-five (45)-day cycle. (Note: Cash prizes from Groov-hosted tournaments are also added to this Reward Balance, however they are processed for payout on a separate monthly cycle as detailed in Paragraph 5.9 below.) For the avoidance of doubt, the functionality of the Reward Balance system does not constitute, nor is to be interpreted as constituting, an e-wallet or digital payment instrument regulated by competent financial authorities.
Payout Threshold: The minimum accumulated amount a User must have (either in their Reward Balance or as direct Groov-hosted Tournament winnings) before a payout can be processed. This is currently set at thirty (30.00) USD; however the Payout Threshold is subject to change from time to time in Groov absolute discretion.
Payout Cycle (for Reward Balance): Payouts from the Reward Balance (for Pro User earnings from Gifts and Hangouts) are processed approximately every forty-five (45) days.
Payout Processing Window: The specific period within a Payout Cycle when Groov processes eligible payouts. Specific dates or windows will be communicated on the Platform or via your Pro User dashboard.
5. Payouts
5.1. Payout Method All cash payouts (from Reward Balance or direct Groov-hosted tournament winnings) will be made via PayPal to the valid PayPal account you have linked to your Groov profile. It is your sole responsibility to ensure your PayPal account details are accurate, up-to-date, and capable of receiving payments in USD.
5.2. AML/KYC and Sanctions Compliance Groov may withhold or freeze payouts if required to do so under applicable sanctions laws (e.g. UAE’s AML Executive Regulations or EU Regulation 881/2002) or due to suspicious activity. Payouts may resume only after satisfactory completion of due diligence by Groov and/or its third-party payment services providers.
5.3. User Responsibility for PayPal Account & Fees You are solely responsible for any fees charged by PayPal for receiving payments, including but not limited to transaction fees, processing fees or currency conversion fees if your PayPal account is not denominated in USD. Under no circumstances whatsoever shall Groov be responsible for such third-party fees. You are responsible for maintaining the security and good standing of your PayPal account and ensuring that your account can legally receive cross-border payments and otherwise comply with local currency control laws and regulations.
5.4. Payout Threshold We will process a payout once your Reward Balance meets the applicable Payout Threshold. For the avoidance of doubt, Groov reserves the right to adjust such Payout Thresholds to reflect changes in administrative process, applicable laws and regulations and foreign currency exchange fluctuations. To encourage new Creators, the threshold is unlocked in stages as follows:
First Payout: Your first-ever payout can be processed once your Reward Balance reaches fifty percent (50%) of the full Payout Threshold (i.e. USD 15.00).
Second Payout: Your second payout can be processed once your Reward Balance reaches seventy-five percent (75%) of the full Payout Threshold (i.e. USD 22.50).
Subsequent Payouts: For your third and all future payouts, your Reward Balance must meet or exceed the full Payout Threshold of USD 30.00.
If your Reward Balance is below the applicable threshold at the end of a Payout Cycle, the balance will roll over.
5.5. Payout Schedule & Active Pro Subscription Requirement (for Reward Balance from Gifts/Hangouts) Payouts from the Reward Balance (derived from Digital Gifts and Hangout entry fees) for eligible Pro Users who meet the Payout Threshold are processed approximately every forty-five (45) days, during the Payout Processing Window.
In order to have your Reward Balance from Digital Gifts and Hangouts processed for payout in a given forty-five (45)-day cycle, you must have an active, paid-up Pro Subscription at the time Groov initiates the payment processing for that cycle.
If your Pro Subscription lapses before your Reward Balance payout is processed:
Your accrued Reward Balance (from Gifts/Hangouts) may be held by Groov in its absolute discretion.
You may become eligible for this held balance to be processed in a subsequent forty-five (45)-day Payout Cycle if you re-activate your Pro Subscription.
If you do not re-activate your Pro Subscription within a continuous period of twelve (12) months from the date the funds first became eligible for payout, or if your account is terminated for violating our Terms & Conditions, those particular funds (or any portion thereof) will be forfeited to Groov.
5.6. Payout Currency All Reward Balances are accrued, and all payouts are made in USD.
5.7. Failed Payouts & Forfeiture of Unclaimed Funds If a payout cannot be processed due to issues attributable to you (e.g. incorrect or invalid PayPal account information, a restricted PayPal account, failure to meet eligibility requirements including KYC, AML, or CTF (as applicable)), Groov will attempt to notify you to rectify the issue and take the following measures:
We will attempt to re-process such failed payouts in subsequent Payout Cycles once the issue is resolved by you.
However, if funds (from Reward Balance or direct Tournament winnings) remain unclaimed or unpayable due to your failure to provide correct information, maintain an eligible PayPal account, or meet other eligibility requirements for a continuous period of twelve (12) months from the date the funds first became eligible for payout, those particular funds (or any potion thereof) will be automatically forfeited to Groov.
5.8. Inactivity Forfeiture (EU/UAE Notice) Users will receive advance written notice of potential forfeiture due to inactivity, in accordance with consumer fairness principles under EU Directive 2011/83/EU and UAE consumer law. A grace period of at least thirty (30) days will be granted after such notice.
5.9. Payouts for Groov-Hosted Tournament Cash Prizes (Specific Rules) Cash prizes won in Tournaments explicitly hosted and funded by Groov are converted to USD and added to each eligible winning player's Reward Balance, as described in Paragraph 3.4.
Payouts for these specific tournament-related earnings from the Reward Balance are processed in or about the twenty-fifth (25th) day of each calendar month (for prizes finalized in the preceding qualifying period, as defined by Groov).
An active Pro Subscription is not required to receive these specific Groov-hosted Tournament cash prize payouts, provided all other conditions (including but not limited to KYC, AML, CTF, Payout Threshold for the sum of these winnings, valid PayPal) are met to the reasonable satisfaction of Groov.
6. Content Review, Adjustments, and Forfeiture of Earnings
Groov reserve the right to review any User-Generated Content (“UGC”) or activity associated with the accrual of your Reward Balance or eligibility for Tournament prizes.
We may, in our sole but reasonable discretion, make adjustments to or forfeit any earnings or prizes if we determine that such earnings/prizes were generated from or associated with:
Activities that violate our Terms & Conditions or Community Guidelines.
Content that infringes on third-party intellectual property rights (e.g., copyright infringement).
Fraudulent activities, manipulation of platform systems, or artificial inflation of engagement metrics.
Use of bots, scripts, or other unauthorized automated means.
Any other serious breach of any Groov policies or applicable law.
If we make such an adjustment or forfeiture, we will endeavor to notify you with the reasons for our decision. This review and potential forfeiture can occur at any time, including during the forty-five (45)-day period (for Reward Balance) or monthly cycle (for tournament winnings) leading up to a scheduled payout, or even after a payout if a violation is subsequently discovered (in which case we may offset future earnings or seek other remedies). For the avoidance of doubt, our right to take other actions, such as account suspension or termination as per our Terms & Conditions, remains unaffected.
7. Audit Right & Dispute Procedure
Groov may conduct audits or manual reviews of earnings activity in suspected cases of fraud or manipulation or other misconduct in violation of Tenet’s policies, procedures or applicable laws and regulations. Users will be given the opportunity to appeal such decisions through Groov’ internal review board, and, if unresolved, through the external dispute procedure in Paragraph 10.
8. Compliance with Intellectual Property Law
Users must ensure generated, uploaded or shared content, including any and all UGC, complies with copyright, performance rights, and image rights laws in their jurisdiction. In the EU, this includes, but is not limited to Directive 2019/790 on copyright in the digital single market.
9. Taxes
You are solely and exclusively responsible for determining, reporting, and paying any and all applicable income taxes, sales taxes, VAT, withholding taxes, and other governmental fees, duties, levies or charges which may be imposed on any earnings or prizes you receive from Groov in your jurisdiction(s).
Groov will not withhold any taxes from your payouts unless specifically required to do so by applicable UAE law for payments made from the UAE. You will be responsible for providing Groov with any tax information or documentation we may reasonably require to comply with our own legal or regulatory obligations.
10. Disputes Regarding Earnings
If you have a question or believe there is an error in the calculation of your Reward Balance, tournament winnings, or any payout, you must first contact Groov Help & Support (via the in-app system or email at support@tenets.gg) within thirty (30) days of the relevant Payout Processing Window/Date or the date the issue arose.
Please provide detailed information regarding your query or dispute. We will investigate and respond to you within a reasonable timeframe.
If the dispute cannot be resolved through our Help & Support channels to your satisfaction, the formal dispute resolution procedures outlined in our Terms & Conditions (Section 20: Governing Law & Resolving Disputes) will apply.
9. Changes to This Revenue Policy
Groov reserves the right to modify, amend, or update this Revenue Policy at any time in its sole discretion (e.g. to reflect changes in our business model, features, revenue share percentages, Payout Thresholds, legal requirements, or economic conditions).
If we make material changes to this Revenue Policy, we will provide you with reasonable prior notice (e.g. at least thirty (30) days, where feasible) by posting the updated policy on our Platform, sending an email to the address associated with your Account, or through other appropriate communication channels. The notice shall indicate the date from when the changes will become effective.
Your continued participation in the Revenue Sharing Program or revenue-generating features after the effective date of the revised Revenue Policy will constitute your acceptance of the changes pertaining thereto. If you do not agree to the new terms, you should cease participating in revenue-generating activities.
10. General
This Revenue Policy is subject to and should be read in conjunction with the Groov Terms & Conditions, Privacy Policy, and Community Guidelines and any other relevant Groov policies, procedures and guidelines. In the event of any conflict between this Revenue Policy and the Terms & Conditions, the Terms & Conditions shall prevail in all material respects unless expressly stated otherwise herein.
Participation in any earning program does not create any relationship of employment, trust, agency, partnership, or joint venture between you and Groov.
Groov make no guarantees whatsoever regarding the amount of revenue or prizes, if any, you will earn. Your earnings and winnings depend on various factors, including but not limited to your engagement, the engagement of other users with your content, your performance in Tournaments, advertiser demand (for future ad revenue sharing), and the overall operational status of the Platform.
To the maximum extent permitted by law, Groov disclaims any and all liability for any indirect, incidental, or consequential damages arising from or in connection with the use of the Platform, earnings, or forfeiture pertaining thereto. For the avoidance of doubt, this shall not affect mandatory consumer rights under the laws of your jurisdiction.
