Seeder Platform – Comprehensive Terms of Service for Organisers (v1.2)

Welcome to Seeder, the advanced tournament creation and management platform provided by Groov Interactive LLC ("Groov”, "we", "us" and "our").
These Seeder Platform Terms of Service (the "Seeder Terms") are a legally binding agreement between you, in your capacity as a Tournament Organizer ("Organizer", "you" and "your") and Groov. These Seeder Terms specifically govern your access to and use of the Seeder web-based platform and any related tools or services we provide for creating and managing tournaments (the "Seeder Platform").
1. Acceptance of Governing Agreements
By accessing or using the Seeder Platform to create, manage, or publish a tournament, you represent and warrant that you have the authority to act on behalf of your organization or entity, and you explicitly acknowledge, accept, and agree to be legally bound by:
these Seeder Terms;
the Groov Interactive Terms & Conditions (the “Terms & Conditions”);
the Groov Privacy Policy (the “Privacy Policy”);
the Groov Cookie Policy (the “Cookie Policy”); and
the Groov Community Guidelines (the “Community Guidelines”).
These documents are hereby collectively referred to as the "Governing Agreements". In addition to the Governing Agreements you, at all times agree to comply with any and all applicable data protection, advertising, and content moderation laws in your jurisdiction and the jurisdictions in which your Tournament is accessible.
For the avoidance of doubt, your use and access to the Seeder Platform is conditional upon your full acceptance of all Governing Agreements. In the event of a direct conflict between these Seeder Terms and the Terms & Conditions regarding your specific role and obligations as an Organizer, these Seeder Terms shall prevail in all material respects.
If you do not agree with these Seeder Terms, do not have sufficient legal capacity in your jurisdiction or do not have the authority to bind your organization, you must not use and/or access the Seeder Platform.
2. The Seeder Platform as a Service (SaaS)
You expressly acknowledge and agree that the Seeder Platform is a Software-as-a-Service (SaaS) tool. Groov’ role is strictly limited to providing the software, infrastructure, and license that enables you to create, manage, and execute your own independent esports tournament. Groov is not a partner, co-promoter, agent, or fiduciary for your tournament (and is under no circumstances to be deemed to be acting in any of the foregoing capacities). For the avoidance of doubt, we do not control, operate, or endorse your event, and we hold no responsibility whatsoever for its execution beyond providing the Seeder Platform as described, and otherwise enforcing our platform-wide policies, including but not limited to the Governing Agreements.
3. Organizer Representations and Warranties
By using the Seeder Platform, you, at all times, represent, warrant, and covenant that:
You are at least eighteen (18) years of age and have the full legal capacity and authority to enter into this legally binding agreement.
All information you provide to Groov and to participants is and will remain at all times true, accurate, and complete.
You will conduct your tournament in a professional manner and in accordance with the highest standards of fair play and sportsmanship as expected from a reasonably competent tournament organizer in the esports sector.
You have secured all necessary rights, licenses, authorizations and permissions from any relevant third parties (including game publishers, sponsors, and content creators) to operate your tournament and to use their intellectual property.
4. Organizer Responsibilities and Obligations
As an Organizer, you are solely and exclusively responsible for every aspect of your tournament. Your obligations include, but are not limited to, the following:
4.1. Prize Fulfillment: You are solely responsible for the complete, timely, and accurate fulfillment and distribution of any and all prizes you advertise for your Tournament. Groov bears no liability whatsoever in connection with your prize pool. Failure to award prizes as advertised is a material breach of these Seeder Terms and may result in immediate termination of your account and legal action from participants.
4.2. Rules and Administration: You are responsible for creating, publishing, maintaining, and enforcing a clear, fair, and comprehensive ruleset for your event. You are the final authority for all rule-based decisions, interpretations, and dispute resolutions within your tournament. For the avoidance of doubt, your rules must not conflict with the Groov Community Guidelines, Terms & Conditions or any other Governing Agreements.
4.3. Legal and Regulatory Compliance: You are solely responsible for ensuring that your tournament complies with all applicable international, federal, state, and local laws and regulations in your jurisdiction and the jurisdictions of your participants. This includes, but is not limited to:
Skill-Based Competitions: Ensuring your event is structured as a legal contest of skill and does not constitute or could be construed as illegal gambling.
Prize Promotions & Contests: Adhering to all laws governing promotional contests, including any registration requirements, bonding, or official rules disclosures.
Taxation: Fulfilling any and all tax reporting and withholding obligations related to prize distribution.
Minor Protection Laws: Ensuring compliance with applicable age-rating systems and safeguards for users in line with applicable child protection laws and international standards. You must clearly and accurately disclose the minimum age requirement for your tournament (i.e. participants must be aged 18 years or age or older).
4.4. Communication: You are responsible for all communications with your tournament participants regarding schedules, rules, check-in procedures, disputes, and prize distribution.
4.5. Content and Brand Usage: You, at all times, represent and warrant that you own or have secured all necessary rights to use any third-party intellectual property (e.g. game titles, publisher logos, sponsor branding, artwork) in connection with your tournament. You agree not to use Groov’ or Seeder’s branding in any way that implies an official partnership or endorsement without our prior written consent.
4.6. Community Moderation: You are responsible for actively moderating all community spaces associated with your tournament (such as a tournament-specific chat) to ensure all user conduct and content adheres to the Groov Community Guidelines.
5. Sponsorship and Third-Party Relations
5.1. Vetting and Liability: You are solely responsible for vetting and managing any sponsors or third-party partners for your Tournament. You are fully liable for any breach of contract, failure to deliver promised prizes, or other defaults by your sponsors.
5.2. Compliance: You warrant that all sponsor materials, branding, and activations associated with your Tournament will comply with the Groov Community Guidelines and all applicable advertising laws and regulations. Groov reserve the right to require the removal of any sponsor material that violates our policies.
6. Fees and Payment
The Seeder Platform operates on a freemium model. The specific criteria for free versus paid tournament hosting will be displayed on the Seeder Platform.
Registration Fees: For certain tournaments, Groov will charge a per-participant registration fee. This fee is payable in ‘Crystals’, the virtual currency of the Groov Platform.
Payment: The applicable fee structure will be clearly displayed to you before you publish your tournament. You must have a sufficient ‘Crystal’ balance in your Groov account to cover these fees as participants register. Fees are deducted automatically upon successful registration by a participant.
Non-Refundable: All fees paid to Groov for the license to use the Seeder Platform are strictly non-refundable, even in circumstances where a participant later withdraws from the tournament, is disqualified for any reason whatsoever, or where your event is canceled for reasons not directly attributable to a failure of the Seeder Platform itself.
7. Data Use and Restrictions
7.1. Data Controller Role: In providing the Seeder Platform, Groov processes participant data as a "data processor" on your behalf. You, as the Organizer, are the "data controller" for your event and agree to handle any participant data you access in strict accordance with all applicable data protection laws (including but not limited to the GDPR and PDPL).
7.2. Use Limitation: You shall use participant data solely for the purpose of administering the specific tournament for which the participant registered.
7.3. Prohibited Uses: At all times, you are expressly prohibited from:
Selling, leasing, or trading any participant data obtained through the Seeder Platform.
Making or facilitating any cross-border data transfers which are not compliant with applicable data protection laws such as the GDPR and the PDPL.
Using participant contact information for marketing lists, newsletters, or any communication unrelated to the administration of your tournament without obtaining separate, explicit, and legally valid consent from the participant.
8. Tournament Cancellation, Postponement, and Modification
8.1. Organizer-Initiated Changes: If you choose to cancel, postpone, or materially modify your tournament after it has been published, you are solely responsible for:
Clearly and promptly communicating these changes to all registered participants.
Handling any and all enquiries, disputes or claims arising from such changes.
8.2. Refund of Entry Fees: You acknowledge and agree that platform fees paid to Groov are non-refundable. You are solely responsible for determining your own policy regarding the refund of any ‘Crystal’-based entry fees to participants in the event of a cancellation. Under no circumstances whatsoever shall Groov facilitate these refunds and Groov shall not bear any liability, directly or indirectly arising therefrom.
9. Broadcasting and Streaming Rights
9.1. Organizer Rights: Unless otherwise agreed in writing, you, as the Organizer, retain the primary rights to produce, broadcast, and distribute a live stream or recording of your tournament.
9.2. License to Groov: By hosting your tournament on the Seeder Platform, you grant Groov a non-exclusive, perpetual, royalty-free, sublicensable, worldwide license to use, reproduce, and display clips, highlights, results, and live snippets of your tournament broadcast for the sole purpose of promoting the Groov and Seeder platforms.
9.3. Participant Consent: You are responsible for ensuring your tournament rules and registration process clearly state that participants, by registering, grant both you and Groov the right to feature their gameplay, username, image, voice and likeness in broadcasts and promotional materials related to and/or in connection with the tournament.
10. Prohibited Financial Conduct
You must not use the Seeder Platform to facilitate fraudulent, deceptive, or unlawful financial activity, including money laundering or evasion of local currency laws. Groov reserve the right to investigate suspicious activity and report violations to regulatory or law enforcement authorities.
11. Liability and Indemnification
11.1. Limitation of Liability: Groov provides the Seeder Platform "as is" and "as available". We do not guarantee uninterrupted access and are not liable for outages caused by third-party platforms, infrastructure failures, or force majeure events such as acts of war, natural disasters, or government restrictions. Under no circumstances whatsoever are we liable for any direct, indirect, incidental, special, or consequential damages or losses arising directly or indirectly from, or in connection with your use of the Seeder Platform. This includes, but is not limited to, issues related to participant disputes, your failure to award prizes, technical issues outside of our direct control, or loss of revenue or economic benefit howsoever arising.
11.2. Indemnification by Organizer: At all times, you agree to defend, indemnify, and hold harmless Groov, its affiliates, officers, directors, contractors, agents and employees on demand, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and legal costs) arising out of or in connection with your tournament. This includes, but is not limited to, claims related to:
Your failure to award or distribute prizes, including those promised by sponsors.
Any disputes between you and your tournament participants.
Any breach of your responsibilities, representations, or warranties under these Seeder Terms.
Your violation of any applicable laws or regulations.
Any claim that your tournament or its associated content infringes on a third party's intellectual property rights or privacy rights.
Any loss, destruction or damage to the Platform arising out of or in connection with your tournament.
Any negligence or willful act or omission of the Organizer.
12. Termination, Suspension, and Platform Integrity
Groov reserves the right, in its sole discretion, to suspend or terminate your access to the Seeder Platform and/or cancel your tournament at any time whatsoever and without prior notice to you if we have determined that you have violated any of the Governing Agreements or are engaged in any fraudulent, illegal, or harmful activity. Such a violation may also result in further action against your main Groov account, including permanent termination and forfeiture of any associated balances. For the avoidance of doubt, at all times, Groov is the final arbiter of Platform integrity.
13. Term and Survival
These Seeder Terms remain in effect as long as you use the Seeder Platform. Sections relating to intellectual property, liability, data protection, and dispute resolution will survive any termination or expiration of these Seeder Terms.
14. Dispute Resolution
14.1. Organizer-Participant Disputes: You are solely responsible for resolving disputes between you and your tournament participants. Groov will not arbitrate such disputes under any circumstances whatsoever, but reserves the right to intervene as described in Paragraph 12 of these Seeder Terms where the dispute reveals a violation of any of our policies and/or the Governing Agreements.
14.2. Disputes with Groov: Any dispute or claim between you and Groov arising out of or relating to these Seeder Terms shall be resolved according to the binding arbitration procedures outlined in the main Groov Terms & Conditions. For the avoidance of doubt, these Seeder Terms are governed and construed in accordance with the laws of the United Arab Emirates.
15. General
15.1. Changes to Terms: We may revise these Seeder Terms from time to time. We will provide you with reasonable notice of material changes. Your continued use of the Seeder Platform after such changes become effective constitutes your acceptance of the revised terms.
15.2. Governing Law: These Seeder Terms are governed by the laws of the United Ara 20. No False Affiliation or Public Disparagement
15.3. No False Affiliation or Public Disparagement: You may not misrepresent your relationship with Groov, claim endorsement without written approval, or make false or misleading public statements about the Seeder Platform or Groov, especially during an active dispute or complaint process.
15.4. Click-Wrap Agreement: For the avoidance of doubt, by clicking "I Agree" or otherwise accessing or using the Seeder Platform to create, manage, or publish a tournament, you confirm that you have read, understood, and agree to be legally bound by these Seeder Terms. If you are accepting on behalf of an organization, you represent and warrant that you have the authority to bind that entity to these Seeder Terms. If you do not agree to these Seeder Terms, you must not use or access the Seeder Platform.
